Blue Tokai Circle Terms & Conditions

These Terms and Conditions (“Terms”) govern access to and participation in the Blue Tokai Circle loyalty and membership program (“Program”) operated by MUHAVRA ENTERPRISES PRIVATE LIMITED, a company incorporated under the laws of India bearing CIN: U15492HR2012PTC047234 and having its registered office at Plot No. 320, Phase-II, Udyog Vihar, Sector 20, Haryana – 122008 (“Blue Tokai”, “we”, “us”, or “our”). 

Blue Tokai Circle is an invite-only membership designed to recognise and reward members through Circle Coins, rewards, missions, games, personalised experiences, and other benefits. 

By registering for, accessing, or participating in Blue Tokai Circle, you acknowledge that you have read, understood, and agreed to these Terms. 

1. General 

1.1 These Terms constitute an electronic record within the meaning of the Information Technology Act, 2000 and applicable rules thereunder and do not require physical or digital signatures. 

1.2 These Terms govern participation in Blue Tokai Circle and shall be read together with Blue Tokai’s Privacy Policy and other applicable policies communicated from time to time. 

1.3 Blue Tokai reserves the right to amend, update, modify, interpret, or replace these Terms at any time. Continued participation following any such change constitutes acceptance of the revised Terms. 

2. Definitions 

For purposes of these Terms: 

“Platform” means Blue Tokai cafés, websites, mobile applications, digital interfaces, and related systems through which Blue Tokai Circle is accessed, administered, or used. 

“Program” means Blue Tokai Circle and any associated rewards, benefits, campaigns, missions, games, offers, or related features. 

“Circle Coins” means points earned through eligible participation in the Program. 

3. Membership Eligibility 

3.1 Blue Tokai Circle is an invite-only membership program. Eligibility, invitations, renewals, and continued participation are determined by Blue Tokai and may consider factors including purchase history, engagement, account activity, geography, participation levels, account standing, profitability, or other criteria determined by Blue Tokai from time to time. 

3.2 The criteria, methodology, thresholds, weighting, processes, and other factors used to determine eligibility, invitations, renewals, continued participation, or access to specific Program benefits are proprietary to Blue Tokai, may evolve over time, and are not required to be disclosed. 

3.3 Participation is intended only for individuals legally competent to contract under applicable law. By participating, you represent that: 

  • you are at least 18 years of age;
  • you are legally capable of entering binding agreements; and
  • information provided by you is accurate and complete.  

3.4 Receiving an invitation does not guarantee continued membership, renewal, access to benefits, or future eligibility. 

3.5 Membership is personal, non-transferable, revocable, and intended solely for individual use. 

3.6 Blue Tokai may suspend, restrict, revoke, terminate, or decline renewal of membership in cases including, but not limited to: 

  • breach of applicable terms;
  • misuse of Program benefits;
  • fraudulent or suspicious activity;
  • inactivity;
  • ineligibility;
  • Program restructuring; or
  • other legitimate business reasons determined by Blue Tokai.  

3.7 Blue Tokai shall not be obligated to disclose reasons for membership decisions including invitations, eligibility, renewals, restrictions, suspensions, or termination. 

4. Membership Period & Renewal 

4.1 Membership remains active for the duration communicated at activation or thereafter. 

4.2 Renewal is not guaranteed and remains subject to applicable eligibility criteria and Program terms prevailing at the time of renewal. 

4.3 Renewal decisions may consider factors including: 

  • purchase behaviour;
  • visit frequency;
  • engagement with Circle;
  • account activity;
  • profitability;
  • participation levels;
  • account standing; and
  • other criteria determined by Blue Tokai,  

provided such criteria are applied in accordance with applicable laws. 

4.4 Blue Tokai reserves the right to extend, renew, modify, downgrade, discontinue, or decline renewal of membership. 

4.5 Expiry, suspension, termination, downgrade, or non-renewal may result in loss of access to benefits, rewards, points, offers, missions, or related features. 

5. Earning Circle Coins 

5.1 Members may earn Circle Coins through eligible purchases, games, missions, referrals, campaigns, promotions, or other activities communicated by Blue Tokai. 

5.2 Circle Coins accrue only on eligible transactions or activities identified by Blue Tokai. 

5.3 Circle Coins: 

  • have no cash value;
  • cannot be transferred;
  • cannot be exchanged or refunded; and
  • cannot be redeemed for cash or credit.  

5.4 Earning structures, exclusions, rates, and eligibility criteria may evolve over time. 

5.5 Circle Coins may expire after durations communicated by Blue Tokai. 

6. Rewards & Redemptions 

6.1 Rewards, redemption categories, thresholds, exclusions, availability, and values may evolve over time. 

6.2 Rewards: 

  • may vary by member;
  • may be limited by geography, inventory, timing, channel, or eligibility; and
  • may be modified, paused, or discontinued.  

6.3 Rewards cannot be combined with other discounts or promotions unless expressly stated. 

6.4 Amounts redeemed using Circle Coins or rewards may not qualify for additional Circle Coin earning. 

6.5 Blue Tokai reserves the right to reverse, withhold, cancel, modify, or invalidate rewards, redemptions, or Circle Coins in cases including: 

  • cancelled or refunded transactions;
  • disputed or reversed transactions;
  • erroneous credit;
  • fraudulent or abusive activity;
  • ineligibility; or
  • breach of these Terms.  

7. Missions, Games & Promotions 

7.1 Missions, games, challenges, streaks, campaigns, bonuses, and related experiences may be introduced, modified, paused, or discontinued from time to time. 

7.2 Targets, rewards, qualification criteria, and completion requirements may vary between members. 

7.3 Determinations regarding eligibility, completion, progress tracking, and rewards through Blue Tokai systems shall be final. 

8. Fair Use, Fraud & Misuse 

8.1 Any attempt to manipulate transactions, fabricate purchases, create multiple accounts, exploit loopholes, misuse Program benefits, or engage in fraudulent or suspicious behaviour may result in forfeiture of benefits and restriction or termination of membership. 

8.2 Blue Tokai reserves the right to reverse, withhold, cancel, or revoke rewards where misuse, fraud, abuse, or violation of these Terms is detected. 

8.3 Blue Tokai’s determinations regarding eligibility, misuse, abuse, fraud, or forfeiture shall be final. 

9. Changes to Circle 

9.1 Blue Tokai reserves the right to modify, restructure, suspend, restrict, discontinue, or terminate the Program, in whole or in part, including: 

  • eligibility criteria;
  • rewards;
  • earning rates;
  • redemption structures;
  • membership validity;
  • missions;
  • benefits;
  • renewals; and
  • Program features.  

9.2 Changes may occur with or without prior notice. 

9.3 Continued participation following changes constitutes acceptance of revised terms. 

9.4 Members shall have no claim against Blue Tokai for expired, withdrawn, modified, unused, or discontinued benefits or rewards. 

10. Technical Limitations 

10.1 Blue Tokai does not guarantee uninterrupted access to Circle features, rewards, tracking systems, or related services. 

10.2 Blue Tokai may correct errors, inaccuracies, omissions, or technical issues at any time, including after rewards or Circle Coins have been credited. 

11. Communications 

By joining Circle, members consent to receiving Program-related communication through channels including: 

  • email;
  • app notifications;
  • SMS;
  • WhatsApp;
  • push notifications; and/or
  • other communication methods used by Blue Tokai.  

Such communications may include: 

  • account updates;
  • reward notifications;
  • mission alerts;
  • renewal information;
  • Program announcements; and
  • related communications.  

12. Privacy & Personalisation 

12.1 Blue Tokai collects, stores, processes, and uses personal information in accordance with applicable laws and its Privacy Policy. 

12.2 Participation in Circle constitutes consent to collection and processing of data for purposes including: 

  • Program administration;
  • personalisation;
  • recommendations;
  • fraud prevention;
  • analytics; and
  • customer engagement.  

12.3 Blue Tokai implements reasonable security practices in accordance with applicable laws including the Information Technology Act, 2000 and Digital Personal Data Protection Act, 2023. 

13. Limitation of Liability 

13.1 To the maximum extent permitted by law, Blue Tokai shall not be liable for indirect, incidental, special, punitive, consequential, or exemplary losses. 

13.2 Blue Tokai shall not be liable for losses arising from: 

  • technical failures;
  • connectivity issues;
  • third-party actions;
  • reliance on information;
  • system outages; or
  • unauthorised access beyond reasonable control.  

13.3 Any aggregate liability relating to Circle shall not exceed the value of relevant rewards or points associated with the claim. 

14. Disputes & Governing Law 

14.1 Any dispute arising out of or relating to Blue Tokai Circle shall initially be addressed through amicable discussions between the parties within 45 days. 

14.2 These Terms shall be governed by laws of India. 

14.3 Any unresolved disputes shall be subject to the exclusive jurisdiction of competent courts in New Delhi, India. 

15. General 

15.1 Blue Tokai’s determinations relating to eligibility, rewards, renewals, benefits, interpretation, and disputes shall be final. 

15.2 Failure to enforce any provision does not constitute waiver. 

15.3 If any provision becomes unenforceable, remaining provisions continue in effect.
